I am having trouble getting the batch upgrade to work. I have verified all files are not read only and no back ups. I run the bat file and no famlist_rfa is generated. I have even tried this in a folder of revit files w/o subfolders (very basic) Any suggestions

Do you have the bat file saved in the same directory? I have not run the one for 2010 yet but 2009 works fine
